When you engage with Upnet  for services: 

• A separate Statement of Work (SOW) or contract will govern the scope, pricing, timelines, and delivery. 

• Payment terms, intellectual property ownership, confidentiality, and termination conditions will be outlined in the SOW. 

• Any delay in project delivery due to client inaction or non-responsiveness is not the responsibility of Upnet. 

5. Third-Party Tools and Integrations

Our services may integrate or interface with third-party platforms (e.g., Google Cloud, AWS, Shopify, Facebook Ads). 

• We are not responsible for downtime, policy changes, or limitations from third-party services. 

• Users are responsible for reviewing and agreeing to the terms of these platforms separately. 

6. Confidentiality

Any information exchanged between Upnet and clients marked as confidential will be treated with strict confidentiality and will not be disclosed to third parties without written consent, except where required by law. 

7. Disclaimers

• We do not guarantee uninterrupted or error-free access to our website or Services. 

• The Services are provided “as is” and “as available” without warranties of any kind—express or implied. 

• We are not liable for any indirect or consequential loss or damage incurred in connection with the use of our Services.

• India, for engagements operating through our Indian base 

Disputes arising shall be subject to the jurisdiction of courts in Delaware, USA or Bengaluru, India—depending on the location of engagement.
